Welcome to Intellivo Solutions, Inc. (“Intellivo Solutions,” “we,” “us,” or “our”). These Services are designed to enhance business responsiveness, reduce missed inquiries, and streamline front-office operations.

2. Acceptance of Terms

By accessing or using our Services, you confirm that you are at least 18 years old and agree to be legally bound by these Terms. You also agree to our Privacy Policy and any other applicable terms presented to you in writing or on our website.

3. AI System Training & Use of Data

We may use de-identified and anonymized customer interaction data (e.g., chat logs, call transcripts, system usage metadata) to improve our AI systems, refine response models, and optimize service delivery. This data is never shared publicly and is used solely for internal performance enhancement and system training purposes. You retain ownership of your data; we are granted a limited license to use it for the stated purpose.

4. Use of Services

You agree to use our Services lawfully and in a manner consistent with industry best practices. You may not: Use the Services to engage in spam, harassment, illegal activity, or transmission of prohibited content. Interfere with system performance or attempt unauthorized access Impersonate others or provide false information. We reserve the right to suspend or terminate access for violations of these Terms or applicable laws.

5. Sensitive Information Restrictions

You may not use the Services to collect, store, or transmit sensitive personal data such as Social Security numbers, financial account details, payment card information, or any health-related data protected under HIPAA or similar regulations, unless you have entered into a specific written agreement with Intellivo Solutions (such as a Business Associate Agreement). Our platform is not designed to be a repository for protected health information or other regulated data types without such arrangements in place. You are solely responsible for ensuring that your use of the Services complies with all applicable data protection laws and industry-specific requirements.

6. No Medical, Legal, or Financial Advice

Our Services are not intended to provide or replace professional advice of any kind. Any information relayed via AI interactions is for informational purposes only. Clients are solely responsible for ensuring compliance with industry standards and providing qualified human oversight where necessary.

7. Performance Disclaimer

Performance outcomes may vary based on industry, implementation, and customer configuration. While our Services are designed to enhance responsiveness and improve lead conversion, we make no guarantees of specific business results, revenue increases, or lead volumes.

8. Future Integrations & Optional Tools

Intellivo Solutions may offer optional integrations with tools such as analytics dashboards, scheduling platforms, or CRM pipelines. Use of such integrations may be subject to separate terms of service. You are solely responsible for legal use, proper configuration, and data compliance related to these optional features.

9. Payment Terms

All Services are billed based on custom subscription agreements. Setup fees and monthly retainers are non-refundable once Services have commenced unless explicitly stated otherwise. Failure to pay may result in service suspension or termination.

11. Termination

We reserve the right to suspend or terminate your access to the Services at any time if you violate these Terms, misuse or abuse the platform, fail to pay outstanding invoices, or pose a security threat or legal risk to the platform or its users. Termination may occur without prior notice if necessary to protect our operations, our customers, or to comply with legal obligations. You may also terminate your use of the Services by providing written notice as outlined in your service agreement. Unless otherwise specified in a separate written contract, no refunds will be issued for setup fees, partially used service periods, or prepaid amounts upon termination.

12. Availability & Force Majeure

While we strive to provide reliable, high-uptime services, we do not guarantee uninterrupted availability. Downtime may occur due to maintenance, upgrades, internet outages, or external events beyond our control (e.g., natural disasters, platform outages, or denial-of-service attacks).

13. Limitation of Liability

To the maximum extent permitted by applicable law, Intellivo Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages. We are not responsible for inaccuracies in AI outputs, failures of third-party platforms, or data loss resulting from user actions or system misuse. Our total cumulative liability under these Terms, for any claim arising out of or related to the Services, will not exceed the total amount of fees you paid to Intellivo Solutions in the three (3) months immediately preceding the claim.

14. Governing Law

These Terms are governed by and interpreted under the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in courts located in Texas.

15. Changes to These Terms

We may update these Terms periodically. Changes will be effective upon posting to our website. Continued use of the Services after changes are posted constitutes acceptance.
